TERMS AND CONDITIONS FOR TSM COIN*

PLEASE READ THESE TERMS AND CONDITIONS (“TERMS”) CAREFULLY BEFORE ACCESSING, USING, OR ACQUIRING TSM COINS (THE “TOKENS”).

To be eligible to acquire or use TSM Tokens, you must:

  • Have the legal capacity to enter into a binding contract.
  • Not be a resident, citizen, or located in a jurisdiction where the purchase, sale, or use of such Tokens is prohibited or requires specific licensing that we do not possess. This may include, but is not limited to, the United States of America, China, and any jurisdiction sanctioned by the Office of Foreign Assets Control (OFAC).
  • Not be on any list of prohibited or restricted parties.

3. No Investment Advice; Acknowledgment of Risk

3.1. Not Financial Advice.

All information provided by the Company is for informational purposes only. It should not be considered as financial, investment, tax, or legal advice. You are solely responsible for your investment decisions and should consult with professional advisors.

3.2. High-Risk Investment.

You expressly acknowledge and agree that purchasing TSM Tokens involves a high degree of risk and may result in the complete loss of your invested funds. These risks include, but are not limited to:

  • Price Volatility: Extreme fluctuations in token value.
  • Regulatory Changes: Unfavorable legal or regulatory actions.
  • Technology Failures: Software bugs, hacking, smart contract vulnerabilities, or miner attacks.
  • Market Adoption Risk: Failure of the Project to achieve adoption, rendering the Tokens worthless.
  • Illiquidity: The inability to buy or sell Tokens on an exchange.

4. Token Functionality; No Rights Conferred

4.1. Utility Token.

You explicitly understand and agree that any investment in TSM Coin is not guaranteed in any way. The value of TSM Coin is entirely market-linked and is subject to numerous external factors beyond the Company's control, including but not limited to overall cryptocurrency market conditions, supply and demand dynamics, and investor sentiment. There is absolutely no guarantee that you will recover your initial investment or achieve any profit.

5. Purchase and Sale of TSM Tokens

5.1. No Refund Policy.

All purchases of TSM Tokens are final. There are no refunds, cancellations, or chargebacks available unless otherwise required by applicable law.

5.2. Responsibility for Wallets.

You are solely responsible for the security of your digital wallet, private keys, and passwords. The Company is not liable for any loss of Tokens due to your failure to secure your wallet.

6. User Conduct and Prohibited Activities

You agree not to engage in the following prohibited activities:

  • Violating any applicable law or regulation.
  • Using TSM Tokens for any illegal purpose, including money laundering or terrorist financing.
  • Interfering with or disrupting the integrity or performance of the Project.
  • Attempting to gain unauthorized access to the Project or its related systems.

7. Intellectual Property

The Company owns all intellectual property rights related to the Project, including the TSM Coin name, logo, website, and whitepaper. You are granted no license to these rights beyond the right to use the Tokens for their intended utility.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR USE OR INABILITY TO USE THE TOKENS;
  • ANY INVESTMENT DECISION MADE BASED ON PROJECT INFORMATION;
  • UNAUTHORIZED ACCESS TO OR USE OF OUR SYSTEMS OR YOUR WALLET;
  • ANY THIRD-PARTY CONDUCT, INCLUDING ACTIONS OF EXCHANGES.

9. Indemnification

You agree to indemnify and hold harmless the Company and its affiliates from any claim, demand, or damage (including reasonable attorneys' fees) arising out of your use of TSM Tokens, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

We may terminate or suspend your ability to interact with the Project or these Terms at our sole discretion, without notice or liability, for any reason, including if you breach these Terms.

11. Governing Law and Dispute Resolution

11.1. Governing Law.

BY PROCEEDING TO ACQUIRE OR USE TSM TOKENS, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS SET FORTH ABOVE, AND YOU EXPRESSLY ACKNOWLEDGE THAT YOUR INVESTMENT IS NOT GUARANTEED, IS MARKET-LINKED, AND CARRIES A HIGH RISK OF LOSS.
